Information Session Overview

Where: MM Center in Osaka (two floors), Tokyo Head Office and 24 Branches Across Japan

Time: A little after 10am. There was a small delay since some people couldn't get into the buildings, but negotiations had been made with landlords to use those premises despite the rent not having been paid as of the meeting date.

1) Trustee's Information (via the translator and then summarized)

Everyone who wants to can continue working in Japan for the new company. The negotiations were handled by a team of six lawyers and about twenty staff members in Tokyo Head Office.

Why did they choose G-Education?

As of October 26th, 2007, there were no sponsors, so they invited sponsors and the result was 12 interested parties. There were three main criteria when evaluating the interested parties:

a) Employment should be offered to EVERY employee which included staff, instructors and supervisors

b) Students needed to be protected. Not one sponsor offered to refund students, however, there were offers that included the waiving of entrance fees, a ten percent discount, a fifty percent discount over a six month period, etc. G-Education, however, offered to provide Nova students the use of ALL their tickets at a cost of 25% of the value of those tickets.

c) They wanted to continue the operation of the company across the country and not split it up.

On November 6th, 2007, they reached an agreement and applied for court approval. As of the meeting date, negotiations were ongoing with regards to details and they are making every effort to continue business as smoothly as possible. This business includes branches, Multimedia Center and Nova Kids.

There have been some recent news stories regarding the Ginganet shares and the problems have been resolved. The basic result is that the Ginganet will continue to be used by the Multimedia Center to teach students.

Currently, all branches remain closed for a few reasons. First, there have been numerous complaints from landlords due to the unpaid rent and each landlord will need to be spoken to on an individual-basis. Initially, this will include thirty branches, but will gradually expand to two-hundred. As for the Multimedia Center, this will open as soon as possible. In addition, G-Education wants to re-open branches so that there will be no student complaints about being unable to book lessons, so they need to make sure staffing needs are met for each location.

The trustee mentioned receiving numerous phone calls from staff and students regarding the situation and it has prevented him from doing his job. He reiterated many times over that ALL people will be offered the opportunity to continue working and the conditions offered will be the SAME as they were with Nova. There are concerns about the expiry of instructor contracts and with social insurance benefits, but they hope to resolve these once people start working for the new company. (Note: The trustee mentioned shakai hoken specifically, but the translator generalized this as social insurance).

People who wish to be employed with G-Education must submit a Resignation Request form, Request for Employment Form and Questionnaire. G-Education will conduct short interviews with everyone, however, after spending a lot of time the previous day with staff it was deemed too long and there were too many people attending the morning meeting. Questions that need to be answered are basically where people currently are located (where they worked when Nova's operations ceased), what their responsibilities were at that time, where people are living (for example, Nova accommodation) and whether or not they are interested in working for G-Education. People will be hired unless they have another employer and each individual will be contacted by telephone. In addition, in order to work for G-Education, people must resign from Nova.

It is also very important to note that G-Education will evaluated "desperate situations" on an individual basis and during each telephone interview will evaluate each person's needs. This could include payment daily or weekly, etc. DISCUSS YOUR PERSONAL FINANCIAL SITUATION WITH THE G-EDUCATION REPRESENTATIVE THAT CONTACTS YOU AND INDICATE WHAT YOU NEED IF YOU ARE EXPERIENCING DIFFICULTIES AND PLAN TO WORK FOR THE COMPANY. As soon as people start to work for G-Education they will begin to earn their full salary (more to come below under "Question and Answer").

For those who do NOT wish to work for G-Education will receive ONE MONTH NOTICE and you will be eligible for unemployment insurance. It goes without saying that those who work for G-Education will NOT be eligible for unemployment insurance.

With regards to unpaid wages, these will be reimbursed through the government only. THE MINISTER OF HEALTH AND WELFARE HAS PLEDGED HIS FULL COOPERATION - ELIGIBLE EMPLOYEES WILL DEFINITELY RECEIVE THE 80% REIMBURSEMENT OF UNPAID WAGES. More information is detailed below.

2) Mr. Inayoshi

They intend to do all they can to help, but it is difficult for the company as well. They have to guarantee ALL salaries, but not one branch is open.

He mentioned the following in a joking manner - Who is he? He just buys companies? He confirmed that yes, the organization has purchased companies and their goals are simple - they want to rise to the challenge of rebuilding Nova.

He indicated that many things will need to change. It is impossible to open 900 branches and maintain a large head office. He referenced Toyota has a comparison to the head office maintained at Nova and said this will need to be reduced/eliminated. He did not indicate which specific jobs this impacted. In addition, the company can't open the thirty branches now because there are problems with the landlords, they don't have the keys for the branches and they are unaware of actual staff/instructor numbers. In the end, when they open branches it will be with a "strong financial basis".

The conditions at G-Education will NOT worsen per Mr. Inoyoshi, and they will remain the same as before, but there may be a slight increase in commuting time only. (There was a translation error here as the translator indicated that "work time" may increase, but this was clarified as an error. If you hear the work time will increase do NOT take this as fact as this was not confirmed by Mr. Inayoshi and corrected by the translator.)

Mr. Inayoshi (per translator): "Let's enjoy working together from now on"

3) Mr. Ono

G-Education has 880 juku schools and many of their teachers and students attend both their juku schools and Nova. In fact, Mr. Ono indicated that two of his three children attended Nova Kids and really liked their instructor there.

The company has received a lot of pressure from customers who indicated that the service levels were good, the teachers were good and that students wanted branches opened as soon as possible. Mr. Ono indicated that they do want to make things as they were before due to this feedback.

Mr. Ono indicated that they are expecting angry students at branches so they need to be thoroughly prepared for this when they re-open the branches and they need to better than they were before. In other words, they aim to make the new Nova better than the old Nova. To do this, they need employee support and cooperation. In exchange, they are offering the same work conditions employees currently have and will maintain positions of responsibility (ex. TI's or AT's, etc.).

Question and Answer Period

(Note: Not all questions are noted here. If you recall information that was mentioned at the information sessions please add the details.)

a) G-Education will pay 100% of employee salaries even if the branch is not yet open provided that the individuals are indeed employees.

b) People should get paid at the end of the month unless they have a job somewhere else.

c) ALL language instructors, regardless of language, are being re-employment.

d) G-Education will negotiate with landlords of buildings and apartments they wish to keep. For those they don't, instructors will be asked to move, but instructors can request assistance with moving costs. (If this is applicable to your situation, please discuss this with the G-Education representative who will be contacting you shortly if you were at the meeting and submitted the appropriate forms)

4) Government Representatives

(Note: This is where the translations became choppy and at times not understandable due to contradictions. This information is summarized via the paperwork provided.)

Summary: Until Nova applies for bankruptcy officially people can't receive reimbursement. Once the trustees file the appropriate documents all employees who resigned or continue to work for the company will receive 80% of their unpaid wages. IF WAGES ARE 20,000 YEN OR LESS, NO PAYMENT WILL BE ISSUED. All employees who resigned within a six month period prior to the bankruptcy and didn't receive payment will be eligible to a ceiling cap. In addition, they will need to complete paperwork that will be mailed to each person (so make sure they have your current address) and these people will continue to be eligible for a total of 1.5 years after bankruptcy, so be sure to apply before this point.

The ceiling caps are as follows (based on age as of the date of "retirement" which could mean October 26th or the date of bankruptcy - if you changed brackets during this time contact the office directly).

a) Individuals aged 45+ have a ceiling of unpaid wages of 3,700,000yen and the replacement payment is capped at 2,960,000 yen

b) Individuals between 30 and 44 have a ceiling of unpaid wages of 2,200,000yen and the replacement payment is capped at 1,760,000yen

c) Individuals under 30 have a ceiling of unpaid wages of 1,100,000yen and the replacement payment is capped at 880,000yen

Please note that unpaid wages is limited to the periodic wages and the retirement allowance (if you received a retirement allowance from Nova, please contact the government agency directly for details). Company housing fees, purchase cost of goods from the company, repayment for a loan and "others" (including travel reimbursement) are EXCLUDED from unpaid wages. If you have any questions regarding the amount owing to you, contact the government agency directly.

Unemployment Insurance

Summary (Pages 3-4 of hand-out):

The objective is to support those seeking re-employment. Those who are unable to work immediately due to illness, injury, pregnancy, childbirth, childcare, etc. are NOT eligible. The person must be in a state of unemployment and available to take up a job at any time. In addition, because Nova went bankrupt, people must have worked for the company for a minimum of six months (of which one month has at least 11 days employed).

Payment of benefits: People under 45 are eligible for 90 days of payments unless they worked there for more than five years. People between 45 and 59 are eligible for unemployment for 90 days unless they worked there for more than a year, then they are eligible for 180 days. Payments range from between 50-80% and is limited to 7775yen per day. For more information locate your local Hello Work office.

Marvin, wow even though its only 40,000 yen that really sucks.

As for the backpay everyone must want for the trustees for the bankruptcy procedings to finish. They are responsible to get the forms out and all that. So until then we can do nothing as far as I know.

It seems like I am uninformed about some companies and shakai-hoken but in my case ECC told me no but they would be happy to help sign me up for something similar even though I told them I wanted to continue with shakai-hoken.

I called too...

I also didn't attend the meeeting, but I called, FP just now and they told me to fax my request in writing, so that they can pass it on to the sponsors. I wonder if anyone out there can scan and put up the request form(s)? Many of us would appreciate it.

Today I went to Hello Work

Today I went to Hello Work and they were good, they told me all I need to know. They told me that I needed to get my "Rishoku Hyo" papers 1 and 2 (a green sheet and red one) from Nova (besides some other things) and then my Unemployment would go through.

I called into Head Office though and haven't been able to reach anyone or anyhing there. Some of you others said you were successful in reaching them today. I'm confused. Is there a new number or something? ...OR, Does anyone know how we can get a hold of these must have documents from Nova or the trustees?

Rishoku Hyo

FP in Osaka will answer. I called today. 06-7688-0404. 9AM-7PM. To get your Rishoku Hyo you have to resign, and then they will mail it to you.I got mine in a week.

Shakai Hoken

A friend of mine who was with me at the Tokyo meeting yesterday asked (in the "Q&A area", I believe) whether he can continue to get Shakai Hoken (or Social Insurance, which includes both health insurance and a pension scheme paid half by the worker, half by the employer)while working for G.Ed. He was told "yes". But I don't know whether this means those who were not covered while working for the "old" Nova will be able to get it. The way Nova weasled out of enrolling everyone when they were under union pressure to do so in 2005 was to give everyone a one-time only option to enroll, then declare that those who didn't (and all subsequent employees, whether they liked it or not) were not technically full time and thus not eligible. They accomplished this by deciding that the lesson interval time minus about 1 minute on each end (to fill out comments in the student files) was free time and not work time (which made their regular working hours less than the time that would ensure eligibility for the program). Those few who had opted to enroll in Shakai Hoken were told that the interval was technically part of their work time. So it remains to be seen whether G.Ed will follow the same sleight-of-hand. On the other hand, most teachers I spoke to at the time didn't want Shakai Hoken anyway.

According to G-Com's website, 1760 ex-Nova employees in total have said they want to be rehired by G-Com. That's from the about 2300 who were said to be at the information sessions in Tokyo and Osaka. 1548 foreign employees and 212 Japanese employees have requested re-employment, and 694 employees are as of yet undecided.

What I'm surprised about is the lack of Japanese staff numbers. Any ideas on why that's so small?

Most that I've talked to are afraid to deal with disgruntled students that they sold huge tuition packages to under the old Nova regime.

Useless Shakaihoken = government rip-off

Was in the hoken system for 3 years, between my wife and I, we probably paid around ¥280,000 a year, double that, for the employer pays half.
On the third year, my wife had to have her front tooth capped, it cost ¥120,000(ceramic), couldn't use the hoken, useless!
Could have capped 7/14 teeth, what a rip-off! We have three kids now, never needed hoken for 19 years, paid in cash, "MUCH CHEAPER!" "What if something happened?", some people say. "That's when you enter the system!", I say!

Hey, that's a lot of money!

20 years of hoken would be over ¥10,000,000, US$ a hundred grand! Could buy a big house with a swimming pool and a tennis court!

Salary payments

I believe your first salary will commence after they have accepted and sent back to you your request for employment, which I beleive will be processed on or around the 14th of this month. According to the forms they handed out, this month's salary will be calculated up to the 20th and you will be paid on the 30th. After this month your salary will be calculated from the beginning of the month to the end of the month, and payday will be on the fifth of each month. There is a gap in the figures for this month. From the 21st of this month to the end of the month, 30th. I have heard this short period will be paid on or around the 7th of Dec. Don't ask me why.
So, it looks as if you will get roughly a week's pay at the end of the month and just over a week's pay on the 7th of next month. That means you will have just over two weeks pay to get you through the rest of the year. If anyone else as any different info, please correct.

Good point from one poster, As instructors or however you saw the job we were usually the "good" guys in the company but the staff going back and having to face all the students that they sold points too....well I can imagine not many wanting to go back.

Translation of the G-comm stuff

From what I read on the Nova website and from what one of my students told me.
11/12 basically says this:

G-comm has tentatively decided to hire 1760 people (1548 foreigners, 212 Japanese) and are still looking at 694 others.

I was not among the tentatively chosen since I did not get a phonecall or anything. I am assuming that they are going with the people with the lower salaries.

11/13 basically says this:

We are having two sessions for the prospective new students and former/current students on each of the following days: 11/14, 11/15, 11/17.
It will be on lessons, entrance, and system of the school.If there are a large overwhelming number of applicants, they will do a lottery.They also explained a breakdown of the meetings by number of students per staff member.They will also explain the the lesson fees and the EC curriculum. Because space is limited, there will be a limit on the number of staff as well.They are expecting a flood of people.

Sorry for the half-ass translation summary. That's why I am just an English instructor.

G.communication to hire all 1,760 job applicants from Nova

NAGOYA — G.communication Co said Monday that it has decided to employ all 1,760 instructors and other staff at failed language school operator Nova Corp who have applied to work at schools to be taken over from Nova by the Nagoya-based firm.

The company said it will also take on the remaining 694 Nova workers who have yet to decide on whether to apply.

G.communication, an operator of cram schools, language schools and restaurant chains, is due to take over part of Nova's business operations through its wholly owned subsidiary, G. Education Co, which runs a chain of 42 English conversation schools under the "EC Inc" brand.

Nova, based in Osaka, filed for court protection from creditors Oct 26 under the Corporate Rehabilitation Law after the scandal-tainted company gave up on efforts to revive its business on its own.

The employment of language instructors and staff at Nova has drawn attention as the company employed a large number of foreign nationals.

Of the 1,760 Nova employees that G.communication has decided to take on, 1,548 are foreign nationals who taught languages at Nova and 212 are Japanese staff.

They form part of the 3,500 workers interviewed by G.communication when it held briefings about its employment policy in Tokyo, Osaka and elsewhere last Friday and Saturday, according to the company.

The employees will receive the same or higher levels of salary and will be subject to different terms of employment than at Nova. They will also be provided with company housing, G.communication added.

"A higher than expected number of people applied for jobs and we hope to resume teaching at as many schools as possible at an early date," a G.communication spokesperson said.

The company is aiming to reopen 30 schools it will take over from Nova within this month.

ECC

Yo JB, ECC does have Shakai Hoken:

have since last year.

And you must be enrolled in either Shakai Hoken OR the Kokumin Kenkou Hoken/Nenkin system according to the laws of Japan.
I am not sure if ECC forces their members to sign up for SH, but since you have to sign up for one or the other anyway, you might as well get SH if you can because you get more coverage (KKH/N is cheaper for the first year, but after that it is economically more viable to get SH)

ECC and Shakai Hoken

Yeah thanks Corrector I found out yesterday and checked the union site. I also just posted yesterday my own experience of when I mention I wanted to continue Shakai-Hoken during my ECC interview a couple of weeks ago and they told me NO but they offered KKH/N to me.

That is kinda rude, but what do you expect I guess...
The rudest thing is that KKH/N is not something that they can "offer" you, you can go get signed up for that yourself (and of course we are all expected too if working in Japan - and it is really great insurance by the way). The reason is of course the company pays for 50% of SH so they always try to get around it if they can (especially with foreign teachers who they hope never find out what it all means...)

Did you get/accept the job? If so, call the ECC GU branch chair and see that the stipulations of the bargaining agreement were (I am in a different branch so I don't know anything more than what is posted).
